Please read these Terms of Service carefully before using the TraceCover web application (the "Service") operated by Aktif Management Ltd, trading as TraceCover ("us", "we", or "our").

1. Agreement to Terms

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Use of Service & Professional Responsibility

TraceCover provides a technology platform for independent insurance agencies and brokers to assist with policy registration and renewal analysis.

IMPORTANT E&O DISCLAIMER: TraceCover is a technology provider, not an insurance carrier, underwriter, or licensed insurance producer. The insights, summaries, gap analyses, and drafted communications provided by our AI engine are strictly for decision-support purposes only. We do not provide insurance, legal, or financial advice. YOU, the licensed professional, assume full responsibility and Errors & Omissions (E&O) liability for reviewing, verifying, and validating all policy documents and AI-generated outputs before utilizing them or advising your clients.

AI-GENERATED OUTPUT DISCLAIMER: The AI-generated analyses, coverage gap identifications, premium comparisons, and drafted communications produced by TraceCover are provided on an "AS IS" basis. TraceCover makes no warranty, express or implied, as to the accuracy, completeness, or fitness for purpose of any AI-generated output. TraceCover shall not be liable for any missed coverage gaps, inaccurate comparisons, or errors in AI-generated content. All outputs must be independently verified by a licensed insurance professional before use.

3. Accounts

When you create an account, you must provide accurate, complete, and current information at all times. You are responsible for safeguarding your password and for any activities or actions under your account.

4. Plan Limits, Billing & Fair Use

Plan Limits: Each TraceCover plan includes a defined monthly allocation of renewal analyses and document uploads. Limits are strictly enforced and reset at the start of each monthly billing cycle.

Limit-Reached Behavior: Upon reaching your plan limit, new analyses will be suspended until the next billing cycle. No partial charges will be automatically applied, and TraceCover bears no liability for any workflow disruptions caused by reaching your usage limit.

Billing Period Resets: Usage meters reset exactly at the start of your monthly billing cycle (UTC). Unused allowances do not roll over.

Fair Use Clause: The Service is designed for human-driven, interactive use by professional agents. Any automated, scripted, programmatic, or API-based usage without an explicit Enterprise API agreement is strictly prohibited and will result in immediate account termination.

5. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Aktif Management Ltd and its licensors.

6. Data Privacy & Zero-Retention

Your use of the Service is governed by our Privacy Policy. TraceCover operates on a strict Zero-Retention Architecture for processing data. We do not permanently store your clients' Non-Public Personal Information (NPPI) uploaded for active analysis.

7. Termination

We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including breach of these Terms.

8. Limitation of Liability

In no event shall Aktif Management Ltd, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

1. (i) your access to or use of or inability to access or use the Service;
2. (ii) any conduct or content of any third party on the Service;
3. (iii) any content obtained from the Service including missed coverage gaps or inaccurate AI-generated insights; and
4. (iv) unauthorized access, use, or alteration of your transmissions or content.

In no event will our total liability to you for all damages exceed the amount you paid to Aktif Management Ltd in the past twelve (12) months.

9. Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales. For users located in the United States, you consent to the jurisdiction of the courts of England and Wales for resolution of any disputes, unless prohibited by applicable US state law, in which case disputes shall be resolved in the federal or state courts of the user's state of domicile.

10. Changes

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to new terms taking effect.

12. Data Breach Notification

In the event of a confirmed data breach affecting your account data, TraceCover will notify affected users within 72 hours of becoming aware of the breach, in accordance with UK GDPR Article 33 requirements.
